Terms of Service

These terms form an agreement between you and Resolute Cyber Defense LLC d/b/a Jan Law Consulting, which operates ResoluteSign. By creating an account, starting a trial, or signing a document through the platform, you agree to them.

The service

ResoluteSign provides electronic signature software with embedded attestation, tamper evident hashing, audit trails, and a verifiable Signature ID on each executed document. ResoluteSign is software. It is not a law firm and using it does not create an attorney client relationship or constitute legal advice.

Accounts

You are responsible for the accuracy of your account details, for keeping your credentials confidential, and for all activity carried out under your account. Tell us promptly if you suspect unauthorised use.

Subscriptions and billing

  • Plans are billed monthly or annually in advance through Stripe.
  • Trials convert to a paid subscription only if you choose a plan. Prices are shown on the pricing page.
  • Subscriptions renew automatically until cancelled. You can change plans, update payment methods, or cancel at any time from your billing status page.
  • Cancellation stops future renewals. Amounts already paid for a current period are not refunded unless required by law or agreed by us in writing.
  • Fees exclude taxes, which are added where applicable.

Electronic signature consent

By signing through ResoluteSign you agree that your electronic signature is the legal equivalent of a handwritten signature and that signing activity is recorded in the audit trail. Executed documents are intended to satisfy the E SIGN Act and UETA where those laws apply. You are responsible for confirming that electronic execution is permitted for your particular document and jurisdiction.

Acceptable use

  • Do not use the platform for unlawful, fraudulent, or deceptive purposes.
  • Do not sign on behalf of a person without authority to do so.
  • Do not attempt to defeat, alter, or misrepresent an audit trail or Signature ID.
  • Do not probe, scan, overload, or reverse engineer the platform.

Your content

You keep all rights in the documents and data you upload. You grant us only the limited permission needed to host, process, and deliver them as part of the service.

Availability

We work to keep the service available and secure, but it is provided as is without warranties of uninterrupted or error free operation, except where such warranties cannot be excluded by law. Enterprise agreements may include a separate service level commitment.

Limitation of liability

To the maximum extent permitted by law, our total liability arising out of or relating to the service is limited to the fees you paid in the twelve months before the event giving rise to the claim, and we are not liable for indirect, incidental, or consequential loss, including lost profits or lost data.

Suspension and termination

We may suspend or terminate access for material breach of these terms, for non payment, or where required by law. You may stop using the service at any time. On termination you may export your executed documents for a reasonable period.

Changes to these terms

We may update these terms. Material changes will be reflected in the date at the top of this page and, where appropriate, notified to account holders by email. Continuing to use the service after a change means you accept the updated terms.

Governing law

These terms are governed by the laws of the State of Texas, without regard to conflict of law rules, and the courts located in Collin County, Texas have jurisdiction over any dispute.
